OVERVIEW
Welcome to Tarheelstate Teacher! The terms “we,” “us,” and “our” refer to Tarheelstate Teacher, LLC, a North Carolina limited liability company. Tarheelstate Teacher operates this store and website, including all related information, content, features, tools, digital products, and services (the “Services”). Tarheelstate Teacher is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (“Terms”) describe your rights and responsibilities when you use the Services.
By accessing, visiting, or making a purchase from our Shopify store, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you should not use or access our Services.
SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the parent/guardian giving consent for a minor to use the Services on a device you own or manage.
To make a purchase, you may be asked to provide certain information (for example: name, email address, billing and payment information). You agree that all information you provide is accurate, current, and complete, and that you have the right to provide it.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You may not transfer, sell, or assign your account to any other person. We reserve the right to suspend or terminate any account at our discretion if we believe these Terms have been violated.
SECTION 2 - DIGITAL PRODUCTS
All products sold through our store are digital downloads. No physical items will be shipped.
After successful payment, you will receive access to download your files, typically through an email link sent to the address provided at checkout or via your account (if applicable). You are responsible for ensuring your email address is entered correctly, that your school/district email allows external downloads, and that you save your files after purchase.
We make every effort to accurately describe and preview our products. However:
- Colors and appearance may vary by device/screen.
- Preview images or thumbnails may include watermarks or sample content not included in the final download.
- Editable elements are provided only where explicitly stated in the product description.
We do not guarantee that a resource will meet your specific curriculum, state standards, scope/sequence, technology setup, accessibility requirements, or district policies.
All product descriptions, previews, and prices are subject to change without notice. We may discontinue or update resources at any time.
We reserve the right to limit access to products to any person, organization, district, or jurisdiction if we believe our license terms may be violated (for example, bulk distribution).
SECTION 3 - LICENSED USE (IMPORTANT)
When you purchase a digital resource from Tarheelstate Teacher, you are purchasing a license to use that resource — you are not purchasing ownership of the content.
Unless a product listing clearly says otherwise, the standard license is:
- One (1) license per teacher.
- Personal classroom or instructional use only.
- Non-transferable and non-commercial.
Under this license, you may:
- Use the resource in your own classroom(s).
- Print/copy pages for use with your own students.
- Post materials for your students in a closed digital classroom environment (ex: password-protected LMS like Google Classroom, Canvas, Schoology) as long as only your current students can access it.
You may not:
- Share, email, post, or otherwise distribute the digital files (or any portion of the files) to other teachers, teams, schools, or the public.
- Upload our files (or modified versions) to shared drives, district drives, Facebook groups, teacher shares, etc.
- Sell, resell, sublicense, or claim our content as your own.
- Use any portion of our materials to create new commercial products.
District or team licensing must be arranged separately. For questions about school/district licensing, please contact tarheelstateteacher@gmail.com.
If we determine that a file has been shared, resold, or distributed in violation of these Terms, we may revoke access to current and future downloads without refund and may pursue other remedies.

SECTION 4 - ORDERS AND PAYMENT
When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order for any reason, including suspected fraud, payment issues, or misuse of our license terms. Your order is considered accepted once payment is successfully processed and digital access is delivered.
All purchases of digital resources are final. Please review your cart carefully before checkout. Our Refund Policy explains the very limited situations in which a refund may be considered (for example, accidental duplicate purchase of the exact same item under the same email address). We do not offer refunds for “I changed grade levels,” “this doesn’t match my district pacing,” “my admin won’t let me use it,” or similar reasons.
You agree to provide up-to-date and accurate billing information, including a valid email address for digital delivery. You represent and warrant that:
- You have the legal right to use the payment method you provide.
- The information you provide is true and complete.
- You will pay all charges at the posted prices, including any applicable taxes.
All pricing is shown in U.S. dollars unless otherwise noted. Prices, promotions, and discounts are subject to change at any time without notice.
SECTION 5 - DELIVERY OF DIGITAL FILES
Because our products are digital:
- There is no physical shipping.
- There are no shipping or handling charges.
Digital access is typically provided immediately after successful payment. Occasionally, delayed access can occur (for example, payment processor review, school email filters, etc.). If you do not receive your download link, please check spam/junk folders and then contact us at tarheelstateteacher@gmail.com.
Once download links are delivered to the email you provided, the digital product is considered “delivered.”
We are not responsible for:
- Lost access due to you entering an incorrect email at checkout.
- District/school filters or firewalls that block delivery or block access to links.
- Your failure to save/backup the files after download.
- Your device, software, or platform incompatibility.
SECTION 6 - INTELLECTUAL PROPERTY
All content sold, posted, displayed, or otherwise made available through the Services — including but not limited to text, graphics, layouts, PDFs, slides, images, product files, product descriptions, and preview images — is owned by Tarheelstate Teacher, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
Except for the limited license described in Section 3, nothing in these Terms grants you ownership, sublicensing rights, or distribution rights.
You may not:
- Remove copyright notices or branding.
- Claim our work as your own.
- Use our name, logos, product names, designs, or branding without prior written permission.
All rights not expressly granted are reserved by Tarheelstate Teacher, LLC.
If you believe any content in our store infringes on your intellectual property, please email: tarheelstateteacher@gmail.com with the subject line “Infringement of Intellectual Property Rights - DMCA,” and include:
- Your name, email, address, and phone number;
- A description/URL of the work you believe is infringed;
- A statement that you have a good faith belief the disputed use is not authorized by the owner, its agent, or the law;
- Your electronic or physical signature confirming that the above is accurate.
Knowingly submitting a false claim may expose you to liability.
SECTION 7 - OPTIONAL TOOLS / THIRD-PARTY LINKS
We may offer access to third-party tools, platforms, file delivery systems, or embedded services (for example, payment processors, file hosting, or LMS integrations). These tools are provided “as is” and “as available,” without warranties of any kind.
We are not responsible for third-party websites, content, policies, data security, or functionality. Your use of any third-party service is entirely at your own risk and subject to that third party’s terms.
SECTION 8 - RELATIONSHIP WITH SHOPIFY
Tarheelstate Teacher is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Tarheelstate Teacher, LLC.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Tarheelstate Teacher, LLC — including any injury, damage, or loss resulting from purchased digital products. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Tarheelstate Teacher, LLC.
SECTION 9 - PRIVACY
Personal information you submit to us is handled according to:
- Our Privacy Policy, and
- Shopify’s Privacy Policy (Shopify collects and processes some information in order to operate the platform and checkout experience).
By using this store, you acknowledge you’ve reviewed those policies and consent to data being transferred, processed, and stored (including outside your state or country) to provide and improve the Services.
SECTION 10 - FEEDBACK AND REVIEWS
If you submit any reviews, suggestions, testimonials, questions, ideas, or other feedback (“Feedback”), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, publish, and display that Feedback for any lawful purpose (for example, marketing, product improvement, store listings).
You agree that:
- You have the right to share that Feedback.
- Your Feedback will not violate any rights of another person or entity.
- Your Feedback will not contain unlawful, obscene, harassing, defamatory, or otherwise objectionable material.
We may remove Feedback at our discretion, but we have no obligation to do so.
SECTION 11 - ERRORS, INACCURACIES, AND AVAILABILITY
From time to time there may be information in the store that contains typographical errors, inaccuracies, or omissions (for example, pricing, product descriptions, standards alignment, bonus inclusions, or download instructions). We reserve the right to correct any errors, update information, or cancel/refuse orders based on inaccurate information at any time, including after an order has been submitted.
We do not guarantee that any product will remain available indefinitely (for example, when we retire, redesign, or update a resource).
SECTION 12 - PROHIBITED USES
You agree not to use the Services:
- For any unlawful purpose;
- To violate any applicable law, rule, or regulation;
- To infringe on our intellectual property or the intellectual property of others;
- To harass, threaten, defame, or harm any person;
- To misrepresent your identity or affiliation;
- To attempt to gain unauthorized access to the store, interfere with its operation, or introduce malware;
- To scrape, spider, crawl, or collect data from the store without permission;
- To share, post, or distribute purchased digital files in violation of Section 3.
We may suspend or terminate your access, without notice or refund, if we believe you are violating these Terms.
SECTION 13 - TERMINATION
We may terminate or suspend your access to the Services (including download access) at any time, without notice, if we believe you have violated these Terms or misused your license. You will remain responsible for any amounts due up to the date of termination.
Sections that, by their nature, should survive termination (including License and IP, Limitation of Liability, Indemnification, and Governing Law) will survive.
SECTION 14 - DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED BY TARHEELSTATE TEACHER, LLC, THE SERVICES AND ALL DIGITAL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that:
- The Services will be uninterrupted, timely, secure, or error-free;
- Defects will be corrected;
- Our materials will align with your specific curriculum, pacing, or school/district requirements.
Some jurisdictions do not allow limitations on implied warranties, so parts of this section may not apply to you.
SECTION 15 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TARHEELSTATE TEACHER, LLC, ITS OWNERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF INSTRUCTIONAL TIME, OR REPLACEMENT COSTS — ARISING FROM OR RELATED TO:
- YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR ANY DIGITAL PRODUCT;
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR INFORMATION;
- ANY ERRORS, INACCURACIES, OR OMISSIONS IN OUR CONTENT.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU ACTUALLY PAID TO TARHEELSTATE TEACHER, LLC FOR THE SPECIFIC DIGITAL PRODUCT(S) AT ISSUE.
These limitations apply even if we have been advised of the possibility of such damages, and even if any limited remedy fails of its essential purpose.
SECTION 16 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Tarheelstate Teacher, LLC (and our owners, members, officers, employees, contractors, and service providers), as well as Shopify and its affiliates, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your breach of these Terms,
- Your violation of any law or third-party rights, or
- Your misuse of the Services or our digital products (including license violations).
We may assume control of the defense of any matter subject to indemnification at your expense, and you agree to cooperate with us in that defense.
SECTION 17 - GOVERNING LAW, VENUE & DISPUTES
These Terms are governed by and will be construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.
Any controversy, claim, or dispute arising out of or relating to these Terms, including purchase or use of our digital products, shall be resolved exclusively in a court of competent jurisdiction located in Wake County, North Carolina. You consent to personal jurisdiction and venue in those courts.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND THE LEARNING EFFECT, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
If any part of these Terms is held invalid or unenforceable, the remaining portions will remain in full force and effect.
SECTION 18 - CHANGES TO THESE TERMS
You can review the most current version of these Terms on this page. We may update or change these Terms from time to time by posting an updated version here with a new “Last updated” date. Your continued use of the Services after changes are posted means you accept those changes.
